Disney to Acquire Marvel Entertainment. Mickey Mouse Owns Spiderman!

Worldwide leader in family entertainment agrees to acquire Marvel and its portfolio of over 5,000 characters

BURBANK, Calif. & NEW YORK–(BUSINESS WIRE)–Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (NYSE:DIS) has agreed to acquire Marvel Entertainment, Inc. (NYSE:MVL) in a stock and cash transaction, the companies announced today.

Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.

Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.

“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.

Iron Man and Wolverine go Anime! See Comic-Con Trailers!

Marvel Entertainment Inc., has partnered with renowned Japanese animation studio Madhouse (Paprika, Tokyo Godfathers) to create four all new anime versions of classic Marvel Super Heroes. Get an exciting first glimpse of two of the planned four series at this year’s Comic-Con International, the country’s leading comics and popular arts convention. The Marvel Animation Panel will be held on Friday, July 24, and will include an exclusive first look at official teaser trailers for two of these new series, hosted by writer and multiple-Eagle Award winner Warren Ellis, who will appear to discuss writing the all new adventures of these re-imagined Super Heroes.

These Marvel Anime TV series are being created as a way of merging the beloved Marvel Super Heroes of western culture with the bold animation tradition of Japan. The resulting product will be four visually groundbreaking anime series featuring popular Super Heroes redesigned and repurposed as emerging from the fabric of Japanese culture. The series is expected to begin appearing on the Animax channel in Japan in spring of 2010.

The Marvel Animation Panel with run from 4:30 to 5:30 p.m. on Friday, July 24, at the San Diego Convention Center. An autograph signing with Ellis will follow the panel at Marvel’s Comic-Con booth #2429.

Over the weekend, news broke that Chris Hemsworth (who played George Kirk in Star Trek) had been cast as Thor in Kenneth Branagh’s big screen adaptation of Marvel’s Thor and the Summer 2012 superhero team-up film The Avengers. Nikki Finke is reporting that British actor Tom Hiddleston, who is almost a complete unknown to American audiences, has been cast as Thor’s nemesis Loki. Of course, the actor has ties to director Branagh, who starred with him in Ivanov on the London stage and the BBC miniseries Wallander. Hiddleston was also one of the actors on the short list being considered for the part of Thor, which should tell you something.

Talk about spot-on casting. I’ve just learned that Marvel Studios’ Kevin Feige and director Kenneth Branagh have chosen their THOR — and it’s Chris Hemsworth, who can currently be seen as “George Kirk” in J.J. Abrams’ Star Trek chrishemsworththorreboot and also just snagged the lead in Red Dawn for MGM on Thursday. The 25-year-old Australian hunk is a virtual unknown here in the United States. But he played “Kim Hyde” on 171 episodes of Home and Away, the successful Oz TV series chronicling the lives and loves of the residents of Summer Bay, a small Aussie coastal town. Hemsworth is repped by partner and co-founder William Ward at ROAR management and agent Ilene Feldman. Marvel Studios has scheduled Thor for a June 17, 2011, release. – from Deadline Hollywood

Marvel inks deal to create massive multiplayer online games

Marvel Entertainment and Gazillion Entertainment have struck a licensing deal to develop massively multiplayer online games based on Marvel characters. The first game in development is a casual MMO title for younger audiences based on Marvel’s “Super Hero Squad” property. Videogame publisher Gazillion also will develop “Marvel Universe,” an MMO game for PC and consoles. Financial details of the licensing deal were not disclosed. – From Reuters

Sony on Thursday set “Spider-Man 4″ for release on May 6, 2011, while co-producer Marvel Studios locked into later slots than previously announced for three other comic-book actioners. As a result of the changes, Marvel pics will launch on the first weekend of May and kick off the boxoffice summer in three straight years, starting with “Iron Man 2″ on May 7, 2010. The moves also get Marvel off the hook of a commitment to produce two pics for release next year — a pledge always considered a bit overambitious in some quarters. Among key date changes, Marvel will delay “Thor” by almost a year — shifting its release to June 17, 2011, from the previously announced July 16, 2010 — and moved “The First Avenger: Captain America” to July 22, 2011, from the previously announced May 6, 2011, which it has ceded to “Spider-Man 4.” Marvel also postponed the release of “The Avengers” until May 4, 2012, from a previous July 15, 2011, slot. “Avengers” is positioned last among its upcoming pics so that characters figuring in the ensemble-superheroes action including Thor and Captain America can be introduced with their own movies. – From The Hollywood Reporter

Samuel L. Jackson has buried the hatchet with Marvel Entertainment, making a deal to play the role of Nick Fury in “Iron Man 2,” and potentially many other films. Jackson’s deal is a long-term commitment to play Fury, the leader of the espionage unit the Shield. Marvel launches digital comic books on iTunes

Announced at NYC Comic Con, Marvel Comics will be bringing it’s first “motion comic” to Apple’s iTunes store, thus expanding on the portable comic reading abilities of the iPhone and iPod Touch.

Marvel’s Joe Quesada set the stage by recounting a conversation several years ago with Marvel Publisher Dan Buckley about the potential of digital comics. A video played showing that Joss Whedon and John Cassaday’s “Astonishing X-Men” #1-10 will be adapted into Motion Comics. (See trailer below)

“It’s not quite comics, it’s not quite animation,” Quesada said of the hybrid nature of the project. Cassaday will be “directing” the adaptation. Buckley also added that this “wasn’t handing things off to a production studio and letting them run away with it everyone’s very involved.”

Joe Quesada Describes His ‘Thor’ Movie Meeting With Kenneth Branagh

“We spent seven or eight hours with Kenneth where he meticulously took us through the beats of the ‘Thor’ movie along with [Marvel Studios head] Kevin Feige and our friends at Marvel West,” Quesada told MTV. “We just sat there, and it was almost like he acted out the entire movie.”

As Quesada and Bendis shared with fans via Twitter last week, the pair had no shortage of compliments for Branagh’s willingness to get to know the Marvel universe.

“You just thought, ‘Wow. This guy has immersed himself in the Marvel culture — not just in Thor — but in the Marvel universe in general,” said Quesada. “He knew a lot of stuff — some things that I didn’t even know.”

“He was reciting Thor stuff from the past, continuity events, quotes from different books, little bits and pieces from stories that he really found fascinating — whether they were old [Jack] Kirby and [Stan] Lee stories or [Walter] Simonson stories or modern stuff that we’re doing,” continued Quesada. “He really got it.”

Jackson, clearly bristling, said today that negotiations to put him in the role of Nick Fury have broken down because “there seems to be an economic crisis in the Marvel Comics world.” Jackson told me today that despite his cameo as the hard-bitten military man at the end of “Iron Man,” it now appears that “somebody else will be Nick Fury or maybe Nick Fury won’t be in it” when it comes to “Iron Man 2,” “The First Avenger: Captain America” and “The Avengers,” the announced slate of Marvel Studios projects through 2011 that might have a natural spot for the character. – from LAtimes


Eva Longoria Denies Avengers Casting Rumor

During E!’s red carpet coverage leading up to tonight’s Golden Globes, host Ryan Seacrest asked Eva Longoria whether or not she was in the running to play a role in the upcoming motion picture adaptation of the “Avengers” comic book series. The rumors of her casting began late last year when she was spotted leaving Marvel Studios HQ with a stack of “Avengers” issues. She was rumored at that time to be up for the role of original Avengers team member Wasp. Longoria told Seacrest that the rumor was “not true.” However, Longoria said she’d love to play a role in “The Avengers” if the opportunity presented itself.
